Welcome to iDo
THIS LEGAL AGREEMENT BETWEEN YOU AND ELM SOFTWARE LLC "Elm" GOVERNS YOUR USE OF THE iDo PRODUCT, SOFTWARE, SERVICES, AND WEBSITES (COLLECTIVELY REFERRED TO AS THE “SERVICE”). IT IS IMPORTANT THAT YOU READ AND UNDERSTAND THE FOLLOWING TERMS. BY CLICKING "AGREE," YOU ARE AGREEING THAT THESE TERMS WILL APPLY IF YOU CHOOSE TO ACCESS OR USE THE SERVICE.
Elm is the provider of the Service, which permits you to store your wedding data in a cloud based database managed and maintained by Microsoft. This will enable you to access your data on any PC that has the iDo software installed. iDo requires a username and password combination to access your wedding data. "Elm" as used herein means:
• Elm Software's mailing address of PO Box 314 Uwchland, PA 19480.
REQUIREMENTS FOR USE OF THE SERVICE
The Service is available to individuals aged 16 years or older. If you are 16 or older but under the age of majority in your country of residence, you must review this Agreement with your parent or guardian to make sure that you and your parent or guardian understand it. Parents or guardians should also remind any minors that conversing with strangers on the Internet can be dangerous and take appropriate precautions to protect children, including monitoring their use of the Service.
To use the Service, you cannot be a person barred from receiving the Service under the laws of the United States or other applicable jurisdictions, including the country in which you reside or from where you use the Service. By accepting this Agreement, you represent that you understand and agree to the foregoing.
Use of the Service requires compatible devices, Internet access, and the iDo software; may require periodic updates; and may be affected by the performance of these factors. Elm reserves the right to limit the number of Accounts that may be created from a device and the number of devices associated with an Account. High-speed Internet access is strongly recommended for use. The latest version of required software is recommended to access the Service and may be required for certain transactions or features. You agree that meeting these requirements, which may change from time to time, is your responsibility.
Changing the Service
Elm reserves the right to modify or terminate the Service (or any part thereof), either temporarily or permanently. Elm may post on our website and/or will send an email to the primary address associated with your Account to provide notice of any material changes to the Service. It is your responsibility to check your primary email address registered with Elm for any such notices. You agree that Elm shall not be liable to you or any third party for any modification or cessation of the Service. If you have paid to use the Service and we terminate it or materially downgrade its functionality, we will provide you with a pro rata refund of any pre-payment.
Limitations on Use
You agree to use the Service only for purposes as permitted by this Agreement and any applicable law, regulation, or generally accepted practice in the applicable jurisdiction. If your use of the Service or other behavior intentionally or unintentionally threatens Elm’s ability to provide the Service or other systems, Elm shall be entitled to take all reasonable steps to protect the Service and Elm’s systems, which may include suspension of your access to the Service. Repeated violations of the limitations may result in termination of your Account.
Availability of the Service
The Service, or any feature or part thereof, may not be available in all languages or in all countries and Elm makes no representation that the Service, or any feature or part thereof, is appropriate or available for use in any particular location. To the extent you choose to access and use the Service, you do so at your own initiative and are responsible for compliance with any applicable laws, including, but not limited to, any applicable local laws.
The Service accepts credit cards for payment, and will automatically charge the payment method associated with your account. Elm may obtain preapproval for an amount up to the amount of the transaction. Billing occurs at the time of or shortly after your transaction. You agree that you will pay for the upgrades you purchase through the Service, and that Elm may charge your credit card for any upgrades purchased and for any additional amounts that may be accrued by or in connection with your Account, and that Elm may continue to charge your credit card or payment account for all fees or charges associated with your subscription on a monthly basis until you change or cancel the subscription. This means that unless you change or cancel your subscription prior to the next monthly billing date, we will charge your credit card or payment account the then-current fees on that next monthly billing date.
About two (2) days prior to your monthly billing date, we will notify you by email to the email address associated with your Account that your Account is about to be billed and to remind you that your credit card will be billed the indicated fees on the monthly billing date. If Elm is unable to successfully charge your credit card or payment account for fees due, Elm reserves the right to revoke or restrict access to your stored Content, delete your stored Content, or terminate your Account. If you want to designate a different credit card or payment account or if there is a change in your credit card or payment account status, you must change your information online in the 'My Account' section of iDo; this may temporarily disrupt your access to the Services while Elm verifies your new payment information.
Account Information and Billing Inquiries
You may consult your Account management page on your device for details on your Account information including payment method and billing history. Elm will send an electronic invoice to the email address associated with your account whenever any Service fees are charged to your Account. If you believe you have been billed in error for the Service please try and notify us within 45 days of the billing date by contacting Elm Software Support at email@example.com.
Cancellations and Refunds
All fees and charges paid by you in relation to the Service are nonrefundable.
You can cancel your subscription at any time under 'Subscription' in the 'My Account' section of iDo. After you cancel the Service, you will not be billing again. Please note that you will still be able to use iDo until your 'Good Through Date' as shown on the 'Subscription' form in the 'My Account' section of iDo.
Changes in Price
Elm may at any time, upon notice required by applicable law, change the price of the subscription Service. Price changes and institution of new charges implemented during your subscription billing month will apply to subsequent subscription billing months and to all new subscribers after the effective date of the change. If you do not agree to any such price changes, then you have the right to cancel the Service if you choose.
Your Use of the Service
As a registered user of the Service, you are required to establish an Account. Don’t reveal your Account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your Account, and you agree to immediately notify Elm of any security breach of your Account. You further acknowledge and agree that the Service is designed and intended for personal use on an individual basis and you should not share your Account and/or password details with another individual. Provided we have exercised reasonable skill and due care, Elm shall not be responsible for any losses arising out of the unauthorized use of your Account resulting from you not following these rules.
In order to use the Service, you must enter your Account username and password to authenticate your Account. You agree to provide accurate and complete information when you register with, and as you use, the Service (“Service Registration Data”), and you agree to update your Service Registration Data to keep it accurate and complete. Failure to provide accurate, current and complete Service Registration Data may result in the suspension and/or termination of your Account. All of your Service Registration Data is stored on Stripe.com’s secure servers. Elm uses Stripe.com to perform order processing.
Nothing in this Agreement shall be construed to convey to you any interest, title, or license in an iDo account, email address, domain name, or similar resource used by you in connection with the Service.
